What an LLC Formation Service Does (and Doesn’t) Do

Many online sellers form a US limited liability company (LLC). The process is manageable, but it helps to know which parts are one-time steps, which costs are paid to third parties, and when you need a licensed professional.

The basic steps

  1. Choose a state. Many owners form in the state where they operate; others consider different states for reasons that depend on their circumstances.
  2. Choose a name that meets the state’s naming rules and is available.
  3. Appoint a registered agent with a physical address in that state.
  4. File the formation document (often called Articles of Organization) and pay the state filing fee.
  5. Prepare an operating agreement describing how the LLC is run.
  6. Apply for an EIN (Employer Identification Number) from the IRS if you need one.
  7. Track ongoing requirements such as annual reports and state fees.

One-time vs ongoing

Formation is a one-time registration. After that, the LLC typically has recurring obligations, such as annual or biennial reports and fees in many states, which is where ongoing reminders and administrative support help.

Costs that are always separate

  • State filing fees
  • Registered-agent fees
  • Annual state fees or franchise taxes, where applicable
  • Fees for attorneys, accountants or tax professionals

Where support ends and advice begins

A formation support service can explain steps, prepare checklists and coordinate filings. It should not replace a licensed attorney or tax professional for questions like which entity or tax election suits you. No service can guarantee approval of filings, EINs, bank accounts or payment processors.
